1. Operator, acceptance, and eligibility
These Terms of Service (“Terms”) form an agreement between you and YinYang Algorithms Inc., an Ontario, Canada corporation (“YinYang,” “we,” “us,” or “our”), concerning yinyangalgorithms.com and the related web application, accounts, subscriptions, support services, and TradingView benefits (collectively, the “Service”).
By creating an account, checking the acceptance box, starting a trial, purchasing a subscription, or using the Service, you agree to the version of these Terms presented to you and acknowledge the Privacy Policy. If you do not agree, do not use the Service.
You may use the Service only if you can enter a binding agreement under the laws that apply to you. The Service is not directed to children. We do not collect a date of birth or operate a separate parental-consent flow, so do not create an account for a person who lacks legal capacity to accept these Terms.
2. Accounts and account security
Registration currently requires an email address, username, and password. You must provide accurate, current information and keep it updated. You may also provide a TradingView username, Discord username, referral code, and optional marketing preference where those fields are offered.
Keep your password, access and refresh tokens, webhook secrets, connected-service credentials, and devices secure. Do not share an account or let another person use your plan entitlement. Notify us through the Support Centre if you suspect unauthorized use. You are responsible for activity through your account to the extent permitted by law.
Access is authenticated with signed tokens. Signing out removes the browser’s stored tokens, but it does not cancel a subscription or delete the account.
3. What the Service provides
The web platform provides BTC/USDT market-data charts based primarily on Binance Spot data, standard and proprietary indicators, presets, volume and whale analytics, Whale Feed, Time Series analytics, Market Health, Candle Insights, strategy testing, tutorials, and related educational tools, subject to the plan and availability shown in the Service.
Free and Essential currently receive the 15-minute-delayed Market Health Lite view, while Premium receives real-time data and full history as described in the current plan comparison. Eligible TradingView publications may provide indicators, strategies, and alerts on TradingView-supported markets. Current web-chart alerts are evaluated only while the chart is open. Some TradingView workflows can send alerts to a compatible third-party webhook or execution service, but YinYang does not currently execute trades or take custody of funds or assets.
AI Insights, price forecasts, replay, paper trading, web heatmaps, and 24/7 server or email alerts are currently labelled “Coming Soon.” They and any other feature carrying that label are roadmap descriptions, not current entitlements. Beta features may be incomplete, changed, suspended, or discontinued. The current pricing page and in-product access controls identify whether a feature is live, delayed, beta, manually provisioned, or unavailable.
4. Trading and financial risk
The Service provides analytics, visualizations, indicators, alerts, strategies, historical testing, and educational information. It does not provide individualized financial, investment, trading, tax, accounting, or legal advice. YinYang is not your broker, dealer, exchange, custodian, fiduciary, investment adviser, or financial adviser, and does not determine whether a transaction is suitable for you.
Trading and investing, including in digital assets, involve substantial risk and can result in loss of some or all capital. You are responsible for your own research, decisions, position sizing, leverage, exchange accounts, settings, webhook payloads, external automation, monitoring, taxes, and risk controls.
Market data, indicators, alerts, signals, scores, and other outputs may be delayed, incomplete, duplicated, inaccurate, or unavailable. Historical, simulated, hypothetical, and backtested results have limitations and do not guarantee future results. The Service does not guarantee profits, prevent losses, or promise that a signal or alert will arrive before a market move.
5. Plans, Free access, guest preview, and beta access
The current plans are Free, Essential, Premium, and Ultimate + TradingView. Features, prices, billing intervals, and checkout availability are shown by the backend-authoritative pricing experience. A limited guest preview may be available without an account, and Free access may remain available with fewer capabilities than paid plans.
When the public-beta access flag is enabled, a registered user may receive Premium web access without a paid Premium subscription. Beta access does not create a paid entitlement, does not include Ultimate or manually provisioned external benefits, and may end or change when the beta flag changes. Existing paid subscriptions remain governed by their Stripe state.
Administrative or employee access and manually assigned test access are operational permissions, not customer subscription plans and do not create a transferable benefit.
6. Stripe Checkout, currency, and taxes
Stripe is the supported payment provider for the current recurring subscription checkout. Paid plans are offered in U.S. dollars (USD) with monthly and annual intervals where the pricing page marks checkout available. Stripe Checkout displays the authoritative plan, interval, amount, payment methods, and any taxes before you confirm payment.
Stripe collects and processes payment credentials. YinYang does not ask for or store full card numbers or card security codes. Currency conversion, bank charges, available payment methods, and taxes may depend on Stripe, your payment provider, location, and applicable law.
7. Automatic renewal, trials, and promotions
A paid subscription renews automatically at the interval and renewal price disclosed in the checkout flow until it is canceled. Review the authenticated checkout disclosure and Stripe Checkout before confirming.
When Premium trials are enabled outside public beta, an eligible new Premium customer may receive one seven-day, card-required trial. Essential and Ultimate do not receive that trial. Unless canceled before conversion, Stripe charges the disclosed amount after the trial and the subscription continues at the selected interval. Trial eligibility is determined from account, Stripe-customer, local subscription, and prior-redemption records; a browser flag does not determine eligibility.
When the Founding Beta Offer is active and correctly configured, an eligible new Ultimate subscription may receive 30% off the first 12 monthly billing cycles or the first annual term, as shown in checkout. When the post-beta founding-launch offer is active, an eligible new Ultimate subscription may instead receive 30% off the first three monthly billing cycles or 15% off the first annual term. New eligibility ends with the applicable offer, but a valid Stripe coupon already attached to a subscription keeps its stated duration. Promotions cannot be stacked unless checkout expressly permits it. The authenticated disclosure and Stripe’s checkout total control if promotional copy and checkout differ.
8. Upgrades, downgrades, and plan changes
A customer with an active Stripe subscription is directed to the Stripe Customer Portal rather than a second new-subscriber checkout. When the Portal offers a plan or interval change, Stripe shows the price, any credit or proration, and the effective date before confirmation.
We do not promise that every upgrade, downgrade, interval change, promotion, or trial is available through the Portal. Do not assume that a displayed new-subscriber offer applies to an existing subscription. The Portal confirmation and later Stripe webhook state determine the change.
9. Cancellation and continued access
Manage or cancel an eligible subscription through Profile and the Stripe Customer Portal. Cancellation prevents future renewal according to the option and effective date confirmed by Stripe. If Stripe keeps the subscription active or trialing until the current period end, paid access ordinarily continues through that recorded period. If Stripe reports the subscription canceled immediately, access may end immediately.
Canceling billing does not delete your YinYang account, support records, or information that must be retained. You can continue to use any Free access then available.
10. Failed payments and entitlement state
Paid access is granted and removed from signed Stripe webhook events and the backend subscription record, not from a checkout success page alone. A failed invoice can cause immediate suspension of paid entitlement and downgrade the account to Free when the failure event is processed, even if Stripe later retries collection.
Incomplete, incomplete-expired, past-due, unpaid, paused, canceled, unknown-price, or otherwise unverified subscription states do not grant paid access. Restoring access may require a successful payment and a later Stripe subscription or invoice event.
11. Forty-eight-hour refund-request policy
You may submit a refund request for the first paid subscription charge within 48 hours after successful payment. The window does not restart for each renewal. A request is reviewed manually and is not an unconditional or automatic refund promise.
We may consider duplicate requests, fraud, abuse, chargeback manipulation, and materially consumed non-reversible benefits where permitted by law. We do not promise prorated refunds for elapsed service, renewals, plan changes, or cancellation. This policy does not limit any cancellation, refund, chargeback, or consumer right that cannot lawfully be limited.
Submit the request through an authenticated billing support ticket with the charge date, Stripe receipt identifier, reason, and requested resolution. Do not include a full card number, card security code, password, or authentication token.
12. TradingView and other manually provisioned benefits
Ultimate + TradingView may include access to specified invite-only TradingView indicators or strategies. A separate TradingView account is required, and a paid TradingView subscription is not included. You must submit the exact TradingView username requested by the Service.
Invite-only access is currently provisioned manually. Any displayed activation time, including a 24-hour target, is a service target rather than a guarantee. Provisioning can be delayed if the username is missing or incorrect, the qualifying entitlement is not confirmed, or TradingView is unavailable. Access may be removed after the qualifying entitlement ends, subject to operational delay.
TradingView, Discord, YouTube, exchanges, webhook receivers, and external execution services are independent services with their own accounts, terms, privacy practices, availability, and enforcement. Do not resell, share, republish, or give another person access to invite-only scripts or channels.
13. Acceptable use
You must use the Service lawfully and in a way that does not harm YinYang, other users, or third parties.
- Do not share credentials, evade plan limits, trial or promotion eligibility, rate limits, or security controls.
- Do not scrape, crawl, systematically extract, copy, republish, resell, sublicense, or redistribute protected Service data or content without written permission.
- Do not reverse engineer protected components except where applicable law expressly permits it, and do not probe or exploit vulnerabilities without authorization.
- Do not interfere with the Service, introduce malicious code, use unauthorized automated access, impersonate another person, or submit unlawful, deceptive, infringing, abusive, or harmful content.
- Do not use alerts, webhooks, or external integrations to violate law, market rules, exchange rules, or third-party rights.
14. Intellectual property and feedback
YinYang and its licensors retain all rights in the Service, branding, site content, software, models, visualizations, indicators, strategies, documentation, and invite-only publications. Subject to these Terms and your eligible access, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable right to use the Service for lawful purposes.
If you voluntarily provide ideas or feedback about the Service, you permit YinYang to use them to operate and improve the Service without an obligation to compensate you. This does not give YinYang ownership of personal information in a support request; personal information remains governed by the Privacy Policy.
15. Support submissions and user content
You retain rights you have in content submitted through support tickets or creator applications. You give YinYang a limited permission to store, reproduce, review, and share that content with personnel and service providers only as reasonably needed to respond, operate and secure the Service, comply with law, and resolve disputes.
Do not submit passwords, private keys, exchange credentials, full payment-card data, authentication tokens, or information that is unnecessary for the request. Support tickets require authentication and may be reviewed by authorized employees or administrators.
16. Market data and third-party services
Binance and other identified sources provide market data used to generate parts of the Service. Market feeds, networks, hosting, browsers, Stripe, TradingView, and other third-party services can be delayed, changed, interrupted, or discontinued. Analytics such as whale classifications, Market Health scores, and signals are estimates derived from available data.
Links, embeds, or integrations do not mean YinYang controls or endorses a third party. Your use of a third-party service is governed by that provider’s terms. Independently verify market information before acting.
17. Product changes and service availability
We may add, change, limit, suspend, or discontinue features, beta access, guest previews, plan contents, integrations, or support for a device or provider. A “Coming Soon” label is not a delivery date or commitment. We will not retroactively change a completed Stripe charge, and any change to renewal pricing will be handled through the applicable billing and notice process.
We do not guarantee uninterrupted availability, a particular uptime, compatibility with every browser or third-party service, preservation of every preference, or error-free output. Maintenance, market-data failures, provider outages, security events, and circumstances outside our reasonable control may interrupt the Service.
18. Suspension, termination, and effects
We may investigate, restrict, suspend, or terminate access for a material breach of these Terms, payment failure, fraud or abuse, security risk, legal requirement, infringement, harmful conduct, or discontinuation of the Service. Where practical, we may use proportionate steps, but urgent security or legal situations may require immediate action.
You may stop using the Service at any time and may cancel billing through the stated route. When access ends, the use licence ends. Payment obligations already incurred and provisions that by their nature should survive—including intellectual property, risk allocation, dispute, and record-retention provisions—continue. Termination does not require deletion of records that are reasonably needed for billing, security, fraud prevention, disputes, tax, accounting, or law.
19. Disclaimers
To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available.” YinYang disclaims implied warranties and conditions of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, profitability, uninterrupted availability, and error-free operation.
Nothing in these Terms excludes a warranty, condition, remedy, or consumer right that cannot lawfully be excluded. Some jurisdictions do not permit certain exclusions, so part of this section may not apply to you.
20. Limitation of liability
To the fullest extent permitted by applicable law, YinYang and its directors, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, opportunity, data, goodwill, digital assets, or trading capital arising from or related to the Service, market conditions, third-party outages, delayed or inaccurate data, user settings, webhooks, external automation, or trading decisions.
This limitation does not exclude liability that cannot lawfully be excluded, including where applicable for fraud, wilful misconduct, gross negligence, personal injury, or violation of mandatory consumer or privacy rights. The Service does not transfer responsibility for your financial decisions to YinYang.
21. Informal resolution, governing law, and international users
Before starting a formal claim, you and YinYang should send a written description of the issue, relevant account or transaction details, and requested resolution through the verified support route, then allow 30 days for a good-faith response. This does not waive urgent court relief, limitation periods, chargeback rights, small-claims rights, regulator complaints, or mandatory consumer processes.
These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law rules. Subject to mandatory rights in your home jurisdiction, disputes may be brought in the courts of Ontario. These Terms do not require arbitration and do not include a class-action waiver.
If you access the Service outside Canada, you are responsible for complying with local law. Availability, payment methods, consumer rights, and enforceability of provisions may vary by location. We do not represent that every feature or subscription is appropriate or available in every country.
22. Changes to these Terms
We may update these Terms prospectively to reflect Service, billing, security, operational, or legal changes. The live page identifies the version, effective date, and last-updated date. Where required, we will provide notice or request a new acknowledgement. Continued use after an update takes effect constitutes acceptance only to the extent permitted by applicable law.
Historical registration and checkout acceptance records retain the version and time recorded when the acceptance occurred; publishing a new version does not rewrite those records.
23. General provisions
If a provision is unenforceable, it will be limited or severed only to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign your account or these Terms without our written consent. We may assign these Terms as part of a merger, reorganization, financing, sale of assets, or transfer of the Service, subject to applicable law.
These Terms, the Privacy Policy, the authenticated checkout disclosure, and any plan terms expressly incorporated at checkout form the entire agreement about the Service, unless you and YinYang sign a separate written agreement. Section headings are for convenience only.
24. Contact
For account, billing, refund, privacy, or informal dispute questions, use the Support Centre or submit an authenticated support ticket. The verified ticket path currently requires account access. Do not send sensitive credentials or full payment-card information in a request.
